1. About Our Service

PartLogic ("we", "us") is a cloud platform that synchronises inventory, product data and warehouse operations.

2. Agreement to Terms

By creating an account or using PartLogic, you enter into a binding agreement with us. If you do not agree, you must stop using the service.

These Terms apply to all users: individuals, customers, and organisations.

3. Accounts and Access

  • You must provide accurate information when registering and keep it updated.
  • You are responsible for all activity under your account.
  • You must be at least 18, or have parental consent if younger.
  • We may suspend or terminate accounts that breach these Terms.

4. Subscriptions and Fees

  • Subscriptions start on the payment date and renew automatically unless cancelled.
  • Fees are payable in advance (monthly or annually) via direct debit or card.
  • If payment fails, we may suspend access until the account is brought up to date.
  • Cancellation must be made through the platform at least 30 days before renewal.
  • We may change fees at renewal and will notify you in advance.
  • Subscribers may upgrade during a term by paying the additional fee.

5. Data Protection and Privacy

  • We process personal data in line with our Privacy Policy.
  • Users must comply with GDPR and other data laws when handling personal data within the platform.
  • Users remain responsible for the accuracy and legality of the data they upload.
  • We may use aggregated, anonymised data to improve our services.

6. Intellectual Property

  • The PartLogic platform, software and content are owned by us or our licensors.
  • You may not copy, modify, resell or reverse-engineer the software.
  • You retain ownership of content you upload, but grant us a licence to host and display it for service delivery.

7. Acceptable Use

You must not:

  • Use the service for illegal, fraudulent or harmful purposes.
  • Upload viruses, malware or disruptive content.
  • Attempt to gain unauthorised access or interfere with the platform.
  • Harass, abuse or mislead other users.
  • Exceed agreed usage limits without upgrading your subscription.

8. Service Levels and Availability

  • We aim to provide continuous access, but downtime may occur for maintenance or unforeseen issues.
  • We do not guarantee uninterrupted availability.
  • Where possible, we will give reasonable notice of planned maintenance.

9. Suspension of Service

We may suspend or restrict your access if:

  • You breach these Terms.
  • Your account is overdue.
  • Your use of the service threatens system security or stability.

Suspension does not remove your obligation to pay fees due during that period.

10. Limitation of Liability

  • The service is provided "as is" without warranties.
  • We are not liable for indirect or consequential losses, including lost profits, data, or business opportunities.

11. Indemnity

You agree to indemnify us against claims, damages or expenses arising from:

  • Your breach of these Terms.
  • Your misuse of the platform.
  • Your failure to comply with laws (including data protection and tax).

12. Force Majeure

We are not responsible for any failure or delay caused by events outside our reasonable control, including natural disasters, power outages, strikes, or internet disruptions.

13. Termination

  • Either party may terminate for material breach if not remedied within 14 days of written notice.
  • We may terminate immediately if your use creates legal, security or reputational risk.
  • You may cancel by giving notice in line with section 4.
  • On termination, all licences granted under these Terms end immediately.
  • You remain liable for all fees up to the effective termination date.

14. Changes to These Terms

We may update or amend these Terms from time to time. If we make material changes, we will notify you (for example, by email or notice on our website) before the changes take effect. Continued use of the service after the effective date of changes means you accept the new Terms.

15. Governing Law and Disputes

  • These Terms are governed by English law.
  • We will seek to resolve disputes in good faith.
  • If unresolved, disputes will be handled exclusively by the English courts.
